Terms & Conditions
These Terms govern Roadlink’s Traffic Management services and Equipment Hire, including stand-downs, variations, sub-hire and damage waiver.
Important: By requesting, booking, accepting, or using any Roadlink services or hired equipment, you agree to these Terms & Conditions.
Part A – Traffic Management & General Service Terms
1. Definitions & Interpretation
Key terms used in these Terms.
In these Terms:
- Roadlink means Roadlink Group Pty Ltd and its related entities, employees, agents, subcontractors and representatives.
- Customer, you means the person or entity requesting Services or hiring Goods (including employees, agents and subcontractors).
- Services includes traffic control labour (e.g., TCPs, TMA Operators, Supervisors), traffic management delivery, event traffic management and consulting services where expressly quoted.
- Goods includes hired plant, barriers, ramps, signage, TMAs, water carts, traffic equipment and related items.
- Authority includes TfNSW, councils, police, rail authorities and any regulator, government body or asset owner.
- Consequential Loss includes indirect loss, lost profit, loss of revenue, delay costs, liquidated damages, penalties, loss of opportunity and similar losses.
- Business Day means a day other than a weekend or public holiday in NSW.
Headings are for convenience only and do not affect interpretation.
2. Scope of Traffic Management Services
What we deliver and what’s included/excluded.
Roadlink supplies traffic management and traffic control services, including (as applicable):
- Traffic Controllers (TCPs), TMA Operators and Supervisors
- Supply, setup and maintenance of traffic guidance measures/devices (where included)
- Site establishment/pack-down and attendance for the duration of works
- Planning and consulting services only where expressly quoted/engaged
Any planning (TGS/CTMP), permits, Authority submissions, or specialist engineering are only included if stated in writing in the quote/engagement.
3. Quotes, Bookings & Acceptance
How a booking becomes binding.
- Quotes are valid for 14 days unless stated otherwise.
- Acceptance occurs when you issue a purchase order, confirm a booking, request mobilisation, or Services commence (whichever is first).
- These Terms prevail over Customer terms (including PO terms) unless Roadlink agrees in writing.
4. Authority Directions & Variations
If TfNSW / Police / Rail / Council changes the job.
Where an Authority direction, permit condition, principal contractor instruction, or third-party requirement changes scope, resources or hours, this is treated as a variation.
Roadlink may comply immediately where required for safety/compliance. Additional costs are chargeable at agreed rates (or Roadlink Schedule of Rates).
5. Site Conditions, Delays & Wet Weather
Charges where resources are allocated but site isn’t ready.
If Roadlink resources are mobilised/allocated and works are delayed due to circumstances outside Roadlink’s control, Roadlink may charge allocated labour/equipment time and reasonable mobilisation/demobilisation costs.
Stand-downs and cancellations are handled under Schedule 2.
6. Evidence (Site Photos, Timesheets & Records)
How attendance and compliance is verified.
Roadlink may collect operational records including timesheets, GPS/time-stamped site photos, and relevant logs for compliance and verification.
If your client requires specific photos (e.g., “crew visible” at start/finish), you must provide those requirements in writing before the shift.
7. Pricing, Invoicing & Payment
Payment terms, overdue accounts and recovery.
- Charges are based on Roadlink’s agreed quote, schedule of rates, or current rates.
- Payment terms are 7 days from invoice date unless agreed otherwise.
- Overdue amounts may incur interest at 2% per month plus reasonable recovery costs.
- Undisputed amounts must be paid even if a dispute exists for other components.
8. Insurance
Coverage expectations and proof of currency.
- Customer must maintain Public Liability ≥ $20,000,000 per occurrence.
- Proof of currency must be provided on request.
9. Safety, Compliance & Stop-Work Rights
Roadlink can stop work if unsafe or non-compliant.
Roadlink may suspend or cease works (without penalty) if site conditions are unsafe, approvals are not in place, or directions would cause non-compliance or unacceptable risk.
Where resources have been allocated, standby and/or minimum charges may still apply.
10. Limitation of Liability
What Roadlink is and isn’t responsible for.
- Roadlink is not liable for Consequential Loss to the maximum extent permitted by law.
- Roadlink’s aggregate liability is limited to the value of the relevant Services giving rise to the claim.
- Nothing excludes non-excludable rights under Australian Consumer Law.
11. Stand-Downs & Cancellations
Weather, cancellations, late changes.
Stand-downs and cancellations are managed per Schedule 2. Stand-downs should be notified before 9:00am unless otherwise agreed.
12. Notices & Governing Law
Where notices go and which laws apply.
Notices: must be in writing and sent to:
- Email: accounts@roadlinkgroup.com.au (or other notified email)
- Address: Roadlink Group Pty Ltd, North Sydney NSW (or other notified address)
Governing Law: New South Wales, Australia. Parties submit to NSW courts.
Part B – Equipment Hire Terms
13. Application of Hire Terms & Precedence
When Part B applies, and what document wins.
Part B applies whenever Roadlink hires Goods to the Customer (including barriers, ramps, signage, TMAs, water carts and associated equipment).
Precedence (highest first):
- Any written hire schedule / quote issued by Roadlink
- These Part B Equipment Hire Terms
- Part A Service Terms
14. Hire Period, Risk & Minimum Hire
Start/end of hire, risk transfer and minimum periods.
- Hire starts on delivery/collection and ends when returned to Roadlink’s possession and control (and inspected where applicable).
- Hire is continuous (including weekends/public holidays).
- Risk passes to the Customer upon delivery/collection and remains until Roadlink recovers/receives the Goods.
- Minimum hire periods apply (see Schedule 1).
15. Price & Additional Charges
Transport, cleaning, repairs and other chargeable items.
Customer must pay hire charges plus any applicable delivery/collection, consumables, cleaning, repair costs, and Damage Waiver Fee (if applicable).
16. Delivery, Access & Collection
Safe access required; hire continues until recovered.
- Customer must provide clear, safe access for delivery/collection.
- If Goods cannot be collected due to restricted access/site conditions, hire may continue and additional charges may apply.
17. Customer Obligations (Use & Care)
Safe use, secure storage, no unauthorised repair.
- Use Goods only for intended purpose and follow instructions.
- Keep Goods secure; do not sub-hire/transfer possession; do not modify/tamper.
- Return clean and in good order (fair wear and tear excepted).
18. Loss, Theft or Damage
Immediate reporting + cooperation required.
Customer must notify Roadlink immediately of loss/theft/damage, provide photos/details, and for theft provide a police report number and cooperate with assessment/repair processes.
19. Damage Waiver (10% Fee + Excess)
How the waiver works and what’s excluded.
Where applicable, a Damage Waiver Fee of 10% of the hire charge may be charged (unless declined in writing prior to hire). Excess and exclusions are set out in Schedule 3.
20. Ownership & Recovery of Goods
Title stays with Roadlink; recovery rights for default.
Title remains with Roadlink (or the third-party owner for sub-hire). If hire ends or the Customer is in default, Roadlink may require immediate return and, where lawful, recover Goods from site. Hire continues until recovered/returned.
Schedules
Schedule 1 – Minimum Charges & Minimum Hire Periods
Minimum shift/hire requirements.
Services – Minimums
- Minimum shift charges apply as quoted or per Roadlink Schedule of Rates.
- Where a shift is cancelled late or stood down, Schedule 2 applies.
Equipment – Minimum Hire Periods
- Fencing & traffic control equipment (excluding electronic equipment): minimum 7 days
- Propping equipment: minimum 14 days
Early return does not reduce the minimum payable hire charges.
Schedule 2 – Stand-Downs, Cancellations & Delays
Notice times and fees.
- Stand-down notice: before 9:00am on the day of works (unless otherwise agreed).
- Approved stand-downs: may be charged as a percentage of applicable charges (as quoted / Schedule of Rates).
- Same-day cancellations: may attract minimum charges and/or mobilisation costs.
- Delays outside Roadlink’s control: may be charged where resources were allocated and cannot be redeployed.
Schedule 3 – Damage Waiver (10% Fee + Excess + Exclusions)
Fee, excess and what is not covered.
Damage Waiver Fee: 10% of the hire charge (if applicable).
Excess: greater of $5,000 or 15% of replacement value (or repair cost).
Exclusions: not covered where loss/damage arises from negligence/breach, misuse/overloading, overhead collisions, electrical overload, corrosive exposure, vandalism, use contrary to instructions, or failure to maintain reasonable security.
Payment of the fee does not remove Customer’s responsibility to protect Goods and comply with reporting/cooperation requirements.
